Legal Affairs Department

Given the critical role of the Legal Affairs Department in safeguarding the rights of the company, its shareholders, and executives—and the necessity of preventing misconduct and irregularities—this unit is structured as an independent department under the direct supervision of the CEO. It is responsible for monitoring compliance with applicable laws, regulations, and internal policies, while ensuring the company’s interests are protected. The department operates based on the following legal and contractual principles:

 Legal Affairs Principles

  1. Organizing legal case files through accurate documentation and establishing a cohesive physical and digital legal archive.
  2. Preparing and submitting comprehensive, structured progress reports on legal cases, including executive summaries for high-priority or sensitive matters.
  3. Promoting a culture of legal compliance within the company by ensuring that decisions with financial or legal implications are made with full legal consideration, and by advocating legal positions in meetings and follow-ups across departments.
  4. Conducting ongoing legal team discussions to determine the correct legal pathways for resolving referred issues.
  5. Collaborating effectively with the Internal Audit Committee and independent auditors by providing transparent reports and full disclosure of relevant aspects.
  6. Issuing timely legal warnings to various departments to prevent potential litigation.
  7. Maintaining constructive engagement with regulatory and supervisory authorities through well-documented, reasoned, and logical responses.
  8. Taking precautionary measures such as documentation and evidence collection to support the debt recovery process.
  9. Establishing and leading the Debt Collection Committee and ensuring its regular meetings.
  10. Providing legal opinions on all matters with potential legal impact.
  11. Ensuring legal representation in decision-making bodies such as the Legal Committee, Debt Collection Committee, and Transaction Commission.
  12. Reviewing and refining laws and regulations relevant to the company’s operations.

 Contract Management Principles

(Preparation of all legally binding documents and contracts)

  1. Legal Affairs representatives participate in pre-contract negotiations.
  2. Developing a standardized contract checklist—including guarantees and enforcement clauses—in accordance with procurement regulations and applicable laws, to ensure consistency in contract drafting.
  3. Designing a contract workflow to obtain and record approvals from legal and financial units, and to include necessary authorizations prior to signature by authorized signatories.
  4. Drafting and standardizing various types of contracts based on the company’s operational domains.
  5. Standardizing tender and auction documents.

Litigation Management Principles

  1. Creating and regularly updating a list of committed, experienced, and trusted attorneys based on performance evaluations and the company’s specialized needs.
  2. Developing a legal action plan at the outset of each case to enable effective monitoring of case progress.
  3. Supervising the quality of legal briefs and attorney performance, and taking acceleration measures when necessary.
  4. Continuously updating the legal action plan at defined intervals.
  5. Initiating appropriate legal proceedings and defending against claims filed for or against the company.
  6. Timely preparation of legal notices, briefs, petitions, and complaints tailored to the referred matters.
